3. Acceptance

3.2 Where You use the Platform through an Institute, Your use is also subject to any terms agreed between Why2Wise and that Institute. In case of conflict on a matter between Why2Wise and You, these Terms prevail.

3.3 Why2Wise may ask You to accept these Terms, or an amended version of them, by an action on the Platform, such as ticking a box and pressing a button. Why2Wise keeps a record of the version You accepted, when You accepted it, and the device details sent with it. Until You accept, Why2Wise may restrict Your access to the Platform.

4. Eligibility

4.1 The Platform is available only to individuals who are eighteen (18) years of age or older and competent to contract under the Indian Contract Act, 1872. By using the Platform You represent that You meet these requirements. A person under eighteen (18) may not use the Platform, whether they sign up directly or through an Institute.

4.2 Why2Wise may suspend any account that it believes, on reasonable grounds, belongs to a person who does not meet these requirements.

5. Accounts

5.1 You are responsible for the accuracy of the information You provide, for keeping Your credentials confidential, and for all activity under Your account.

5.2 An account is personal to You and may not be shared, transferred or sold.

5.3 You shall notify security@why2wise.in promptly of any unauthorised use of Your account.

6. The Services

6.1 Why2Wise provides an online learning platform for preparation for competitive examinations. The features, their scope, their availability and the conditions attached to them are as presented on the Platform from time to time.

6.2 Why2Wise may, at its sole discretion and without liability, add, change, suspend, limit or discontinue any feature, plan, price, Credit value or eligibility condition, in whole or in part, for all or some users, at any time. A change applies prospectively.

6.3 The price, the Credits consumed and any conditions of a feature are displayed on the Platform before You confirm its use. That display forms part of these Terms for that use.

6.4 Access provided through an Institute depends on the Institute's arrangement with Why2Wise and may end or change when that arrangement ends or changes.

7. Outputs and No Guarantee

7.1 Responses, explanations, evaluations, practice material and other outputs on the Platform, whether produced by a Mentor or by an automated feature, are provided for general educational guidance only. They may be incomplete, outdated or incorrect, and do not constitute professional advice.

7.2 You are solely responsible for verifying any output against official and authoritative sources before relying on it.

7.3 Why2Wise does not guarantee any examination result, rank, selection or other outcome.

8. Mentors

8.1 Mentors are independent persons. Nothing in the Platform creates an employment, agency or partnership relationship between Why2Wise and any Mentor, or between Why2Wise and any User.

8.2 Why2Wise is not responsible for the views, statements or conduct of any Mentor, save to the extent that liability cannot be excluded by law.

8.3 Asking a Mentor uses no Credits. If a Mentor's answer does not solve Your question, You may mark it "not solved", and it goes back to the same Mentor once. If You mark it "not solved" again, the question is closed as unresolved. Where the question is answered on a live call, the call may be reconnected within one (1) hour, and if it is still not solved it is closed in the same way. No Credits or money are refunded or paid in either case, and there is no further review of the answer. You may raise a grievance under Clause 20.

9. Dealings Outside the Platform

9.1 You shall not use the Platform to solicit, arrange or conduct any dealing with a person You met through the Platform that bypasses the Platform, and shall not share or request contact details for that purpose.

9.2 Why2Wise may review and screen communications and Content on the Platform, including by automated means, to operate the Platform, to enforce these Terms and to protect Users.

10. Credits and Payments

10.1 Credits have no cash value, are not legal tender, are not transferable and may be used only as permitted on the Platform. Credits may carry an expiry as displayed on the Platform.

10.2 Payments, refunds and the restoration of Credits are governed by the Refund and Cancellation Policy.

10.3 Why2Wise's records of Credits, transactions and usage are conclusive, save for manifest error.

11. Your Content

11.1 You retain the rights You hold in Content You submit. You grant Why2Wise a worldwide, non-exclusive, royalty-free licence to host, store, use, reproduce, adapt and display that Content, and to have its service providers do so, only to the extent needed to operate and provide the Platform: to You, to the Mentors who answer You and, as the Privacy Policy allows, to Your Institute; to keep the Platform safe; and to keep the records the law or Our agreements require. This licence ends when the Content is erased, except for what Why2Wise keeps under Privacy Policy Clauses 8 and 11.5.

11.2 If, and only while, You give the optional consent in Privacy Policy Clause 5.2, You also grant Why2Wise a worldwide, non-exclusive, royalty-free licence to use, reproduce and adapt that Content to improve and develop the Platform, in a form that does not identify You. Nothing used under this Clause 11.2 is published in a form that identifies You. If You withdraw that consent, this licence ends for any new use; material already made from Your Content in a form that does not identify You may be kept.

11.3 You represent that You have all rights necessary to grant those licences and that Your Content does not infringe any right of any person or breach any law.

11.4 Why2Wise may remove, disable or refuse any Content at its discretion.

12. Why2Wise's Intellectual Property

12.1 The Platform, its software, design, content, compilations, data, methods, features and outputs, and all intellectual property in them, belong to Why2Wise or its licensors. All rights not expressly granted are reserved.

12.2 You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Platform for Your personal, non-commercial preparation, in accordance with these Terms.

12.3 You shall not, and shall not permit any person to: copy, scrape, crawl, harvest or extract any part of the Platform or its content or outputs; reverse engineer, decompile or attempt to derive its source code, models, logic, data or methods; access it by automated means; benchmark it or analyse it for a competitive purpose; or use it, its content or its outputs to build, train or improve any product or service that competes with the Platform.

13. Availability

13.1 The Platform is provided on an "as is" and "as available" basis. Why2Wise does not warrant that it will be uninterrupted, timely, secure or free of errors, or that any defect will be corrected.

13.2 Support is provided on a reasonable-efforts basis through support@why2wise.in.

14. Suspension and Termination

14.1 Why2Wise may suspend, restrict or terminate Your access to the Platform or any feature, with or without notice, where it believes, on reasonable grounds, that You have breached these Terms or any policy referred to in them, where required by law, or to protect the Platform or its Users.

14.2 Why2Wise may also terminate Your access for convenience on notice. In that case the Refund and Cancellation Policy sets out what, if anything, is refunded.

14.3 On termination, Credits and benefits attached to the account lapse, save as that Policy provides. Clauses that by their nature survive termination shall survive.

15. Disclaimer

15.1 To the fullest extent permitted by law, Why2Wise disclaims all warranties and conditions, express or implied, including of merchantability, fitness for a particular purpose, accuracy and non-infringement.

16. Limitation of Liability

16.1 To the fullest extent permitted by law, Why2Wise shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary loss, or for any loss of data, profits, revenue, opportunity, goodwill or examination outcome, however arising.

16.2 To the fullest extent permitted by law, Why2Wise's total aggregate liability arising out of or in connection with the Platform or these Terms shall not exceed three (3) months' share of the price You actually paid to Why2Wise for Your current plan or course: that price divided by the number of months the plan or course runs, multiplied by three (3), and never more than the amount You actually paid.

16.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

17. Indemnity

17.1 You shall indemnify and hold harmless Why2Wise and its proprietor, personnel and service providers from and against any claim, loss, liability, penalty, cost or expense, including reasonable legal fees, arising out of Your use of the Platform, Your Content, or Your breach of these Terms, any policy referred to in them, or any law.

18. Amendment

18.1 Why2Wise may amend these Terms and the policies referred to in them at any time by publishing the amended version on the Platform. The amended version takes effect on publication or on the date stated in it. Why2Wise may ask You to accept the amended version under Clause 3.3 before You continue to use the Platform. Your continued use of the Platform after that date constitutes acceptance.

19. Governing Law and Disputes

19.1 These Terms are governed by the laws of the Republic of India.

19.2 Before commencing any proceeding, You shall notify the dispute in writing to legal@why2wise.in and allow thirty (30) days for good-faith resolution.
