Why2Wise — End User Licence Agreement

Effective from: 22 October 2026

1. Who this is between, and who it covers

1.1 This End User Licence Agreement ("EULA") is between Mr. Manu Bharadwaj, sole proprietor carrying on business under the trade name "Why2Wise" (Udyam Registration No. UDYAM-KR-03-0735524), with principal place of business at 105, 5th Cross, Teacher's Colony, KS Layout, Bengaluru 560078, Karnataka, India ("Why2Wise"), and You. "You" means each person who uses the Platform: a student, a mentor or an institute administrator.

1.2 "Platform" means the Why2Wise website, apps and services. "Institute" means a coaching organisation that gives its students or staff access under a separate agreement with Why2Wise. Other capitalised words have the meaning given in the Terms of Service (the "Terms").

1.3 You accept this EULA by an action on the Platform. Why2Wise records the version, the time and the device details sent with it.

1.4 The Institute's agreement with Why2Wise is separate. It decides what the Institute pays and promises. It does not reduce Your rights under this EULA or the law.

1.5 If Why2Wise is incorporated as a company, that company takes Why2Wise's place under this EULA, as Terms 2.2 says.

2. Eligibility and accounts

2.1 The Platform is only for persons who are 18 or older and able to make a contract under the Indian Contract Act, 1872 (Terms 4.1). By using the Platform You confirm that this applies to You.

2.2 An Institute must not enrol a student who is under 18. Why2Wise may suspend an account that it reasonably believes belongs to a person under 18 (Privacy Policy 10.1).

2.3 One person holds one account. A Seat is for one named person. You must not share, lend, sell or transfer Your account or login.

2.4 Why2Wise may limit how many devices can be signed in to one account at the same time, and may sign You out of a device You signed in on earlier. The limit is shown on the Platform.

2.5 Give accurate information and keep Your login secret. Tell security@why2wise.in quickly if someone else may have used Your account. You are responsible for what is done through it.

3. Your right to use the Platform

3.1 Why2Wise gives You a licence to use the Platform. It is limited, non-exclusive, personal, non-transferable, non-sublicensable and revocable. It lasts only while You hold a Seat or an account. The parts of the Platform You can use depend on Your course or plan: a full course opens the whole Platform, and a single-subject, Optional or shorter course opens only its own part. Why2Wise may add, change or remove features at its discretion, including in any new release.

3.2 You may use the Platform only for these purposes. A student: personal, non-commercial exam preparation. A mentor: answering students on the Platform. An administrator: managing the Institute's account and following its students' progress.

3.3 You must not, and must not let anyone else:

  • (a) share Your login or give access to anyone who does not hold a Seat;
  • (b) scrape, crawl or copy the Platform, the notes, the question bank, the answer keys, the explanations or the outputs, by hand or by any tool;
  • (c) use bots, scripts or other automated means to access the Platform;
  • (d) reverse engineer or try to find the source code, prompts, models or methods of the Platform;
  • (e) sell, rent or sublicense the Platform or its content;
  • (f) use the Platform, its content or its outputs to build, train or improve a competing product or service, including any AI model;
  • (g) get around any limit, access control, security measure or device limit, including the copy and print protection on the notes; or
  • (h) break the Acceptable Use Policy (the "AUP") or any law.

3.4 Using a download or print button that the Platform gives You, for Your own study, is allowed.

3.5 An administrator may use student information only to run the student's course and follow the student's progress, and may export it with the Platform's tools for that purpose only. A mentor must keep what they learn about students confidential and must not arrange dealings with a student outside the Platform.

4. Content

4.1 Ours. The Platform, the software, the notes, the question bank, the explanations, the answer keys, the tags, the syllabus maps and the automated outputs belong to Why2Wise or its licensors. Past examination questions are set by the examining body. Why2Wise claims its own work in the bank: how the questions are selected, arranged, tagged and checked, and the explanations and notes it adds.

4.2 Yours. You keep the rights You have in what You upload or write on the Platform ("Your Content"). You give Why2Wise the licence over Your Content set out in Terms 11.1. Why2Wise uses it to run the service: to show it to the mentors who answer You and, as the Privacy Policy allows, to Your Institute; to keep the Platform safe; and to keep records for disputes, payments and the law. Only if You give the optional consent in Privacy Policy 5.2 does it also use Your Content to improve the Platform, in a form that does not identify You. Any personal data in Your Content is handled as the Privacy Policy says, including Your right to erasure.

4.3 Mentors. A mentor assigns to Why2Wise the rights in the answers and other material they create on the Platform, as the Mentor Agreement says.

4.4 Institute materials. An Institute keeps its rights in its own materials, question banks and rosters. It gives Why2Wise the licence in clause 4.2 to run the service for its students.

4.5 Your promise about uploads. You and the Institute promise that You own, or have all the rights, licences and consents for, everything You upload. This includes notes, question banks, student lists and files, and the consent of any person whose personal data is in them. You promise that an upload does not break any person's rights or the law.

4.6 Notice and takedown. Anyone who believes an upload breaks their rights or the law may write to grievance@why2wise.in with their contact details, what the upload is and where it is, the right or law said to be broken, and a statement that the notice is made in good faith. Why2Wise acknowledges the notice within 24 hours and disposes of it within 15 days. It may remove or disable the upload meanwhile. It acts within the time the law sets on a court order or a lawful direction of an authority. The uploader may respond. Why2Wise may suspend a person who repeatedly uploads material that breaks the rights of others. It has no duty to check uploads in advance.

5. AI features

5.1 Some features use artificial intelligence, for example to answer questions, check answers and screen messages. The Privacy Policy explains how Your data is used for them.

5.2 Answers and other outputs, from AI or from a mentor, are study aids. They can be wrong, out of date or incomplete, and they are not professional advice. Check them against the official source. Past-question answer keys are a best-effort record. The examining body's own published paper and key are the authority.

5.3 Why2Wise does not guarantee any examination result, mark, rank or selection.

5.4 An output may be similar to one given to someone else. You may use outputs for Your own study. You must not post or sell them, present them as official, or use them to train a competing product. The wellbeing tools are not medical or mental-health advice.

6. Privacy and data

6.1 The Privacy Policy is the notice that tells You what personal data Why2Wise collects, why, who sees it and how long it is kept. If this clause and the Privacy Policy differ on personal data, the Privacy Policy applies.

6.2 Who is responsible. If You use the Platform directly, Why2Wise decides why and how Your personal data is processed. If You use the Platform through an Institute, the Institute may decide the purposes of processing for the data about Your enrolment, and Why2Wise processes that data on the Institute's behalf, as well as for its own purposes set out in the Privacy Policy (Privacy Policy 2.1 and 2.2). The Institute promises that it has a lawful basis for the data it gives Why2Wise, that it has given every notice and obtained every consent the law requires, and that the data is accurate.

6.3 Private records. Your sleep, food, body and mind records, and Your private study note, are private to You. Why2Wise does not show them to Your Institute or to mentors.

6.4 Your rights. You may ask for a summary of Your personal data, ask for it to be corrected, completed, updated or erased, withdraw consent, name another person to act for You if You die or cannot act, and complain. Write to grievance@why2wise.in from the email address on Your account. If You joined through an Institute, Why2Wise may pass Your request to the Institute and helps it answer. Records that feed a mentor's payout, an Institute's invoice or the credit ledger cannot simply be deleted. Why2Wise keeps them and removes or separates the information that names You where it practically can. It also keeps what the law requires.

6.5 Breach. If a personal data breach affects You, Why2Wise will tell the Data Protection Board of India and the people affected, as the law requires, and will tell an Institute about a breach of its data within the time in Annexure A.

6.6 Grievance Officer. Mr. Manu Bharadwaj, Proprietor, Why2Wise. Email grievance@why2wise.in. Post: 105, 5th Cross, Teacher's Colony, KS Layout, Bengaluru 560078, Karnataka, India. A grievance is acknowledged within 24 hours and disposed of within 15 days, or sooner where the law says (Terms 20). If You are not satisfied, You may complain to the Data Protection Board of India.

7. Payments and refunds

7.1 The price and the Credits used are shown on the Platform before You confirm. The Refund and Cancellation Policy governs payments, Credits and refunds. Where an Institute pays for Your Seat, any refund is decided under the Institute's agreement, as that Policy says. Nothing here removes a right the law gives You.

8. Suspension and termination

8.1 Why2Wise may suspend or limit Your access where it reasonably thinks that You have broken this EULA, the Terms or the AUP, that Your account is being shared, that this is needed to protect the Platform or a person, or that the law requires it. Where practical, it will tell You why. It may act first if there is a risk to safety or security.

8.2 You may stop using the Platform at any time. To close Your account, write to support@why2wise.in.

8.3 Why2Wise may end Your access for a serious or repeated breach, or if the law requires it. It may also end Your access for convenience on notice, and then the Refund Policy says what is refunded.

8.4 If You hold a Seat through an Institute, the Institute may ask Why2Wise in writing to remove it. A Seat that is already paid for stays active for the rest of its term if the Institute's agreement ends, unless Why2Wise ends it under clause 8.3.

8.5 When Your access ends, Your licence ends and Credits lapse, except as the Refund Policy says. Why2Wise handles Your personal data as clause 6 and the Privacy Policy say.

8.6 These clauses survive: 3.3 to 3.5, 4, 5, 6 (as far as data is kept), 8.5, 9, 10, 11 and 12.

9. Disclaimers

9.1 The Platform is provided "as is" and "as available". Why2Wise does not promise that it will be uninterrupted or free of errors. Annexure A sets out the service levels Why2Wise aims for.

9.2 Mentors are independent. Why2Wise is not responsible for a mentor's views, statements or conduct, except where the law says it is.

9.3 The Platform runs on services supplied by other businesses, such as hosting, database, AI, payment and email services. They can fail or change. Why2Wise is not liable for their failure if it chose and used them with reasonable care. It stays responsible for its own data protection duties.

9.4 To the fullest extent the law allows, Why2Wise disclaims all other warranties. Neither side is liable for a delay caused by an event beyond its reasonable control, but this does not excuse a payment already due.

10. Limit of liability

10.1 Why2Wise is not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of data, profit, revenue, opportunity or goodwill. It is not liable for any loss that comes from an examination result, rank or selection, or from failing to get one.

10.2 Why2Wise's total aggregate liability arising out of or in connection with the Platform and this EULA is limited to three (3) months' share of the price You actually paid to Why2Wise for Your current plan or course: that price divided by the number of months it runs, multiplied by three (3), and never more than the amount You actually paid (Terms 16.2). For an Institute, the limit in its agreement with Why2Wise applies.

10.3 Nothing in this EULA limits or excludes liability for fraud, for gross negligence, or for any liability that the law does not allow to be limited or excluded. This includes rights given by the Consumer Protection Act, 2019. If a court finds a part of this clause unenforceable, only that part falls away.

11. Indemnity

11.1 You will cover Why2Wise's reasonable losses, and defend it against third-party claims, that arise from (a) Your misuse of the Platform in breach of this EULA or the AUP, including sharing Your login, scraping, or copying content; or (b) an upload that You had no right to make.

11.2 This does not apply to the extent that Why2Wise's own breach, fraud or negligence caused the loss. Why2Wise may run the defence of a claim. You must not settle in a way that binds Why2Wise without its written consent.

11.3 An Institute's promises in clauses 2.2, 4.5 and 6.2 are also covered by its own agreement with Why2Wise.

12. Governing law and disputes

12.1 Indian law governs this EULA.

12.2 If You have a dispute with Why2Wise, write to legal@why2wise.in with the details and what You want. The parties will try in good faith to settle it within 30 days of the notice.

12.3 A dispute not settled in that time will be finally decided by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator whom the parties agree on or, failing agreement, who is appointed as that Act provides. The seat and venue is Bengaluru, Karnataka, India. The language is English.

12.4 Subject to clause 12.3, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction. Either side may go to a court for urgent interim relief.

12.5 Nothing in this clause stops a student who is a consumer from using a Consumer Commission or any other forum that the law makes open to them.

12.6 Between Why2Wise and an Institute, the dispute clause in the Institute's agreement applies.

13. Changes, notices, contact and order of documents

13.1 Changes. Why2Wise may change this EULA by publishing a new version and asking You to accept it on the Platform, and will tell You what changed. If You do not accept, You may stop using the Platform and ask for Your account to be closed.

13.2 Notices. Notices to You go to the email address on Your account or appear on the Platform. Notices to Why2Wise go to legal@why2wise.in. Other contacts: grievance@why2wise.in for grievances, takedown and data rights; support@why2wise.in for billing and support; security@why2wise.in for security reports.

13.3 Order of documents. The Terms, the Privacy Policy, the Refund Policy, the AUP, this EULA with its Annexure and, for mentors, the Mentor Agreement make up one agreement between You and Why2Wise. If two differ, this order applies:

  1. a law that cannot be excluded by agreement, including the Consumer Protection Act, 2019 and the Digital Personal Data Protection Act, 2023;
  2. the Privacy Policy, on personal data only;
  3. the Refund Policy, on payments, Credits and refunds only;
  4. for mentors, the Mentor Agreement, on pay, ownership of answers, confidentiality and solicitation only;
  5. this EULA, on the licence, content, AI features, liability, indemnity and service levels; and
  6. the Terms and the AUP, on everything else.

An Institute's agreement with Why2Wise governs only between Why2Wise and the Institute. As Terms 3.2 says, the Terms prevail over it as between Why2Wise and You.

13.4 General. This EULA is a document referred to in the Terms (Terms 21.1). If a part is invalid, the rest stays in force. A delay in enforcing a right is not a waiver. You may not transfer Your rights. Why2Wise may transfer its rights to a successor to the business.

Annexure A: Service levels

A1 What this covers. These are the service levels Why2Wise aims for on the parts of the Platform it runs itself. They do not cover how quickly a mentor answers: mentors are provided and managed by Your Institute. They do not cover a feature marked "Coming soon" or switched on only for testing.

A2 Availability. Why2Wise aims for the Platform to be available 99.0% of each calendar month, measured for sign-in and the main study features. Planned maintenance under A3, the failures in A9, and problems with Your own device or internet connection are not counted.

A3 Planned maintenance. Why2Wise gives at least 24 hours' notice on the Platform before planned maintenance that may interrupt the service, and schedules it between 11 pm and 6 am IST where it can.

A4 Support. Write to support@why2wise.in. A business day is Monday to Saturday, 9 am to 9 pm IST, except public holidays in Karnataka.

A5 Grievances. Acknowledged within 24 hours and disposed of within 15 days (clause 6.6).

A6 Data requests. A request to access, correct or erase personal data is acknowledged within 24 hours and answered within 30 days, or sooner where the law says. For a student who joined through an Institute, the time runs from when the Institute instructs Why2Wise.

A7 Security incidents. Why2Wise tells an affected Institute about a personal data breach without undue delay and in any case within 72 hours of becoming aware of it, and tells the Data Protection Board of India and the people affected as the law requires.

A8 Backups. The database is backed up every day in encrypted form, and each backup is kept for 7 days. After a failure that loses data, Why2Wise aims to restore service within 1 business day, with no more than 24 hours of data lost.

A9 Exclusions. These service levels do not apply to a failure caused by an event beyond Why2Wise's reasonable control, a failure of a service supplied by another business (clause 9.3), an attack on the Platform, a suspension under clause 8, or Your own device, network or misuse.

A10 Remedy. These are targets. Missing one does not by itself give a right to damages, a refund or service credits, except where the Institute's agreement with Why2Wise says otherwise. Why2Wise will tell You what went wrong and what it is doing about it.
